Terms of service
Last updated: [date]
These terms apply to all work Circle37 carries out for you. By paying an invoice or confirming an order in writing, you accept them.
1. Who we are
Circle37 is a trading name of [COMPANY NAME LTD], registered in England and Wales, company number [number], registered office [address]. Contact: [email].
2. What you're buying
Each package has a written scope on our website or in our quote. Anything outside that scope is quoted separately before we start. "From" prices apply to the scope described; a different scope is priced and agreed in writing first.
3. Prices and payment
- Packages under £300: payment in full before work starts.
- Websites and larger projects: [50]% before work starts and the balance before launch or handover.
- Monthly plans: billed monthly in advance, cancellable with [30] days' notice.
- Prices exclude VAT where it applies. Third-party costs (hosting, domains, plugins, stock media, ad spend) are agreed in advance and are your responsibility.
- Late invoices may be charged interest under the Late Payment of Commercial Debts (Interest) Act 1998.
4. What we need from you
Timely content, feedback and access to accounts. Delivery dates depend on this. If we're waiting on you for more than [14] days, we may pause the project and reschedule.
5. Revisions
Each package includes the revision rounds stated in its scope. A revision round means one consolidated set of changes within the original scope. Extra rounds and changes of direction are quoted.
6. Ownership
When you've paid in full, you own the final deliverables we created for you. We keep ownership of our tools, templates and know-how, and you get a licence to use them as part of your deliverables. Third-party materials stay under their own licences. We may show the finished work in our portfolio unless you ask us not to.
7. Your content and consent
You confirm you have the right to give us any text, images, audio and video you supply. For podcasts and video, you are responsible for getting consent from anyone who appears or is recorded.
8. Tools and automation
We use software, automation and third-party services to do our work. Some services (such as hosting, email, messaging and telephony) are provided by others and are subject to their terms and availability. We aren't responsible for outages of services we don't control.
9. Cancellation and refunds
If you cancel before work starts, we refund payments in full less any third-party costs already incurred. After work starts, you pay for work done to date. If you're a consumer (an individual not acting for business purposes), you have statutory rights, including a right to cancel within 14 days of ordering; if you ask us to start sooner, you pay for work done in that period. [Solicitor to confirm wording for consumer and business customers.]
10. Results
We work to give your business the best chance of results, but we can't guarantee specific outcomes such as rankings, traffic, enquiries or sales.
11. Liability
Nothing limits liability for death or personal injury caused by negligence, fraud, or anything else that can't be limited by law. Otherwise, our total liability under these terms is limited to the amount you paid us for the work in question, and we aren't liable for indirect or consequential losses or loss of profit.
12. Data protection
We handle personal data as set out in our privacy policy. Where we process personal data on your behalf (for example, customer contacts in an automation we build), we'll agree a data processing agreement with you.
13. General
These terms are the whole agreement between us for the work. We may update them; the version in force when you order applies. They're governed by the law of England and Wales, and its courts have jurisdiction.
